Law-protected secrets: Confidentiality of negotiations

Abstract

This article concerns confidentiality of negotiations regulated in Art. 721 § 1 of the Civil Code. Many issues relating to that confidentiality are discussed, inter alia legal aspects of its applicability, object of protection, parties obliged to protect confidential information, the principles of liability in case of its violation. A special character of this confidentiality has been noted, namely that negotiations are primarily protected by good practices as important values which should be observed in the course of negotiations. From this viewpoint the provisions of Art. 721 of the Civil Code play a role of special guarantees favoring the correctness and efficiency of the negotiation process.
