Shareholders’ right to information in a non-public joint-stock company

Abstract

The article refers to the issue of shareholders’ right to information in a non-public joint-stock company. The author presents the rights of shareholders, in particular minority shareholders, as well as the correlated duties of the company’s management board. The article presents the issue both from the theoretical and practical angle. The author presents his own concept of interpretation of Art. 428 § 6 of the Polish Commercial Companies Code and presents his de lege ferenda postulates.
