Death of a partner in a partnership

Abstract

The article presents various possible models, statutory or contractual, as regards legal consequences of a partner’s death for both further existence of a partnership and for entering the partnership by the heirs of the deceased. The author argues that although in the codified model of a general partnership the death of a partner results in dissolution of a partnership the heirs of the deceased partner enter the partnership for the duration of the preparatory proceedings until dissolution.
