Recording resolutions of the management board and the supervisory board of a joint-stock company in the context of latest amendments to the Commercial Companies Code - selected issues

Abstract
The amendments to the Commercial Companies Code have also included changes as regards recording resolutions of the management board and supervisory board of a joint-stock company. The rules for the content of the record and its signing have been modified, while board members have been given the right to motivate a dissenting opinion. This article is meant to discuss the rules for recording resolutions, the impact of the changes on the recording practice, as well as make an attempt to answer questions that are subjects of dispute in the doctrine, such as the obligation to record resolutions adopted in writing.
