Abstract

Civil liability of management board members to the company for infringement of its articles vs execution of shareholders’ instructions. The article analyses the Supreme Court judgment of 7 February 2019 concerning civil liability of management board members to the company for infringement of its articles and the extent to which execution of shareholders’ instructions by managers affects their liability.
