Abstract

The final part of the paper provides an analysis of the consequences of the sale of an enterprise under the bankruptcy and restructuring proceedings as regards its individual tangible and intangible assets, with special emphasis of administrative-type rights (concessions, licenses, permits and credits) and industrial property rights (patents and various forms of licences). This is connected with liability of the purchaser for “commitments connected with running the enterprise” (art. 554 KC of the Civil Code) and liability of the seller for physical and legal defects of the enterprise (here the concept of due diligence).
