Abstract

The subject of the article are the option rights and the constructions based on them from the point of view of their qualification as restrictions on the transferability of shares. The author discusses put and call options as a starting point for further consideration. Next, he discusses more complex constructions such as the deadlock provisions, tag-along right and drag-along right. Within the framework of the analysis, the author indicates which of the discussed institutions should be qualified as transferability restrictions and what are the consequences of this.
