Abstract

The recent amndment of the Commercial Companies Code has dramatically changed the way how supervisory boards will work as regards holding meetings and adopting resolutions. Currently, meetings may be held online only and it is allowed to take resolutions using means of distance communication, thus there is no need for previously mandatory authorizations in company agreements or articles for undertaking any activities without physical presence. The discussed changes bring about significant consequences for supervisory boards as they speed up the decision making process no matter where their members are. It makes a massive impact not only in the situation when commuting is restricted, but also in a broader context of needs resulting form the rapidly changing economy as well.
