Abstract
The article discusses the problem of invalidity of the contents of the articles of association of a limited liability company. In certain circumstances, defective articles of association may result in the nullity of a company affecting its legal existence. Defectiveness of articles of association may also result in partial invalidity of their provisions without affecting its legal existence. The article discusses both situations.
