Abstract

W artykule poddano analizie kwestię reprezentacji biernej spółki jawnej w przypadku reprezentacji (czynnej) łącznej. Zgodnie z jednym poglądem w takiej sytuacji reprezentacja bierna powinna być taka sama jak reprezentacja czynna, a zgodnie z drugim – reprezentacja bierna jest wówczas samodzielna. Przyjęto, że drugi pogląd jest właściwy, i poparto to stosowną podstawą prawną wraz z uzasadnieniem.

Passive representation of a registered partnership in case of active joint representation by partners

The article analyses the issue of passive representation of a registered partnership in case of (active) joint representation. According to one view, in such a situation, passive representation should be the same as active representation, and according to the other view, passive representation is then independent. The latter view is accepted and supported with an appropriate legal basis and justification.
