Abstract

The article discusses admissibility of a stockholder of a limited jointstock partnership to be represented by its general partner at the general meeting. In the introduction the authors outline the main topic on which they would focus in the publication. Next, the authors introduce issues relating to the rules of the general meeting. Further on, they raise the question of the possibility to apply Art. 4122 of the Commercial Companies Code in conjunction with Art. 126 § 1.2 of the Code. Moreover, the authors analyse Art. 142 § 4 of the Code which introduces restrictions for appointment of a proxy at the general meeting.
