Abstract

The article deals with the issues concerning representation of a limited joint-stock partnership, both under the general rules of the Polish Commercial Companies Code as well as pursuant to possible alternative regulations in the articles of the said partnership. The Polish law allows for deprivation of a general partner of the right to represent a limited joint-stock partnership by way of amendment to the article of association (unless he voices an opposition) or under a court order for important reasons. The article deals also with the effects of such deprivation.
