Abstract

The Act of 19 August 2011 amending the Polish Commercial Companies Code entered into force on 27 October 2011. The Act implements to the Polish law EU Directive 2009/109/EC. Directive 2009/109/EC goes back to the 2003 Action Plan of the Commission aimed at modernization of European company law and enhancement of corporate governance, as well as later initiatives to simplify the acquis communautaire. The main purpose of Directive 2009/109/EC is to simplify the procedures of corporate restructuring, i.e. mergers and divisions, harmonized in the following directives: Third Directive 2011/35/EU concerning mergers of public limited liability companies, Sixth Directive 82/891/EEC concerning divisions of public limited liability companies, and Tenth Directive 2005/56/EC on cross-border mergers of limited liability companies. The article examines the amendments to the Commercial Companies Code resulting from the Bill of 19 August 2011.
