Trading in shareholding rights in limited liability companies on crowdfunding platforms

Abstract

The Polish legislator has taken the position that the EU regulation regarding crowdfunding financing does not apply to trading in the shares of limited liability companies. Thereby, it has deprived limited liability companies of the possibility to raise capital by selling shares on crowdfunding platforms. The EU regulation allowed such trading when there were no legal restrictions in national law that could effectively prevent the sale of shares. The decision of the Polish legislator is correct, although the arguments it relied on are wrong. However, from the analysis of the nature of a limited liability company in the form it operates under Polish law it follows that there was no possibility of making a different decision, and the previous trading in shares on crowdfunding platforms should not have taken place.
