Abstract
The article refers to the Supreme Court judgement of 17 March 2016, II CSK 232/15, which found retroactive changes to the articles of joint-stock companies admissible. However, the absence of a general prohibition to introduce retroactive changes to the articles of joint-stock companies does not mean that the autonomy in this respect is by no means unlimited. In the abovementioned judgement the Supreme Court indicated that retroactive changes must infringe, in particular, the principle of protection of acquired rights.
