Abstract

The article analyses the relationships between material prerequisites which allow for an action to revoke a resolution. The truth functors used by the lawmaker in Art. 249 and 422 of the Commercial Companies Code are juxtaposed in various combinations in the doctrine. The article presents arguments in favour of the autonomous character of the breach of the articles prerequisite and observes that the legislator was right to include the good practice prerequisite in those regulations.
