Company law vs capital market law

Abstract

The text includes an analysis of the method of regulation of commercial law and capital market law. The author indicates the differences between the two branches of the law and their common parts. The analysis contains a critical assessment of the current regulation method - indicating their dispersion and inconsistencies in regulation. However, the author also indicates possible legislative solutions, which could potentially lead to the ordering of the analyzed regulations. The text refers to the distinction of basic concepts and institutions - seemingly only identical in the field of capital market and commercial law. Such as the concept of shares, functioning of the company’s authorities, shareholders’ rights.
