Principles of representation of a family foundation in organization - chosen aspects

Abstract
The possibility of establishing family foundations, introduced with the Act of 26 January 2023 on Family Foundations, constitutes a significant element of modern succession planning instruments in Poland. However, the rules governing the representation of such foundations - after their formation but prior to an entry in the register of family foundations - remain unclear and give rise to numerous practical doubts. In the light of these ambiguities, the prime objective of this article is to analyze the principles of representation of a family foundation in organization, with a particular emphasis on the rules of the representation of such foundations arising from the Article 23 of the Act on Family Foundations. The considerations presented in this article are especially intended to clarify interpretative uncertainties relating to the rules of representation of the foundation following the founder’s death and in situations where the founder, simultaneously serving as a board member, enters into an agreement with the family foundation in organization. The main research method applied in this paper is the legal-dogmatic method.
