Abstract

The article is aimed to present and analyse problematic issues related to appointing a supervisory board member of a joint stock company to temporarily perform the duties of a management board member. It discusses in particular the status of the appointee (from the viepoint of the functioning of both the supervisory board and the management board), the maximum duration of the appointment, application of the non-competition clause to the appointee, obligation to disclose the appointment in the commercial register, as well as the requirements for a resolution to appoint a supervisory board member.
