Abstract

The article refers to the institution of the personal rights of shareholders. The author compares personal rights with preferred shares. Further on, the author discusses the catalogue of rights and analyses Art. 354.3 of the Commercial Companies Code. Finally, he presents options for expiration of the said rights. In the article, the author advocates a liberal approach as regards the scope of shareholders’ personal rights and the striving to maintain shareholders’ rights in the event of a collision of a personal right with mandatory rules.
