Abstract

The gloss provides a critical analysis of the mechanism of representation of a limited partnership whose general partner is a legal person or another organizational entity. In particular, the gloss analyses the issue of admissibility of representation of a limited partnership by a proxy of its general partner. Criticizing the position adopted by the Supreme Court, the author defends the view that neither a proxy nor any other authorized representative of the general partner are not empowered to represent a limited partnership.
