Abstract

The article analyzes the scope of freedom of an officer of a company when resigning from a seat in a governing body of the company. It has been noted that in certain situations officers are obliged to refrain from destabilizing the functioning of a governing body, which means that officers may not file a resignation. Whereas in a situation whereby an officer of a company is affected by a perennial conflict of duties it should be recognized that they should resign from performing a function in that body.
